This offer represents a premium of 42.3% to Sequans’ closing price on August 4, and 7.7% premium to the volume weighted average price over the last twelve months and a 32.6% premium to the volume weighted average price over the last six months. The transaction values Sequans at approximately $249 million, including net debt of approximately $52 million.

If, upon completion of the appropriate works council consultation, Sequans’ Board recommends the tender offer to the holders of Sequans’ ordinary shares and ADSs, Renesas will commence the tender offer thereafter. The closing of the transaction is subject to the valid tender of Sequans shares representing at least 90% of the outstanding share capital of Sequans on a fully diluted basis, including Sequans shares owned by Renesas. The transaction is also subject to confirmation of tax treatment from relevant authorities, and receipt of required regulatory approvals and other customary closing conditions.

In addition, upon Sequans Board recommendation and appropriate works council consultation on the transactions described below, Sequans will convene an ordinary and extraordinary general meeting of the shareholders to vote on a series of transactions that would result in Sequans structurally, but not operationally, redomiciling in Germany. Following the closing of the tender offer and completion of such transactions, any ordinary shares or ADSs not tendered would be ultimately transferred to Renesas under German squeeze-out rules for statutory compensation.. In connection with these transactions, Sequans’ existing French activities, including assets, liabilities and employees, would be first transferred to a new wholly-owned French subsidiary of Sequans.

The tender offer is currently expected to close by the first quarter of 2024 and the redomiciling and related transactions are currently expected to close by the fourth quarter of 2024. Assuming the completion of the tender offer, Sequans will become a privately held company and Sequans’ ADSs will no longer be listed on any public market.

The tender offer will be implemented in accordance with the terms and conditions of the MoU. In addition to the terms of the tender offer, the MoU contains customary representations, warranties and undertakings by Sequans and Renesas.

SKYFive, Flightcell, and Sequans Introduce the World’s Smallest Airborne Terminal for Air-to-Ground Communications

  • Tiny A2G module enables broadband in the sky
  • Flightcell is the first to adopt the new technology
  • Stringent testing passed with Australian A2G network operator Pivotel

SKYFive AG, Flightcell International, and Sequans Communications S.A. today debuted a new airborne communications device enabled with Air-to-Ground (A2G) technology.

A2G technology provides public safety agencies with reliable broadband connectivity in the sky, enabling them to conduct effective airborne missions, a capability increasingly required on helicopters and light aircraft.

A2G provides reliable coverage and capacity to aerial users, and it overcomes the current limitations of today’s terrestrial networks and satellite systems as used for airborne applications. Terrestrial networks can be used only at low altitudes and are limited in performance, consistency, and security; satellite systems are limited in bandwidth, and very costly and difficult to install, especially on rotorcraft.

To remove these limitations and enable airborne communications devices of any kind to connect to A2G networks, SKYFive and Sequans have developed a postage stamp sized A2G modem that ensures a reliable, secure, and always on A2G communications link, and it can be integrated into airborne devices with minimal effort.

Flightcell’s DZMx is the first device to use this new technology. With a weight of less than 800g, the compact DZMx can be fitted easily into any aircraft. To date, Flightcell has shipped more than 3000 DZMx units into all major aviation markets. DZMx has a modular design, allowing the A2G module to flexibly combine with other means of data transmission.

The complete solution has been thoroughly and successfully tested with Australian A2G network operator Pivotel, who deployed A2G base stations on several towers in the greater Sydney area in 2022. These tests fully confirmed the predicted throughput, latency, reliability, and consistency of the solution in a real environment. Subject to regulatory approval and other ongoing conversations, Pivotel plans to further extend the current A2G network during 2023.

Dirk Lindemeier, Chief Commercial Officer, SkyFive:

“This new product underlines our commitment to developing an entire ecosystem of A2G terminals, therewith maximizing the addressable market and giving choice to aircraft operators. The A2G module represents a further milestone reached in miniaturizing the technology and making aircraft installation easy. We look forward to seeing entirely new aircraft types connecting to our networks very soon.”

James Mace, Director, Flightcell: “Our customers strongly demand reliable broadband connectivity for various use cases. By introducing the option to configure DZMx with an A2G module we open up new possibilities for operators of helicopters and fixed wing aircraft that are flying air ambulance, aerial firefighting, law enforcement, and other missions, as well as light business aircraft, both for our large installed base and new deliveries.”

David Choukroun, Senior Director, Business Development, Sequans: “We are thrilled to contribute our technology to this ground-breaking achievement with SKYFive and Flightcell. The A2G module will enable a multitude of new and exciting airborne communications applications, and the module’s high-performance capabilities, including ultra large cell range and the ability to operate reliably at the high speed of aircraft, meet the most demanding avionics requirements.”

CBRSense™, a game-changing IoT sensor able to communicate over private networks will launch at CES in Las Vegas.

Monogoto, the cloud-based global cellular connectivity provider, is pleased to welcome CBRSense™ into its network.

CBRSense™ is the first multi-purpose low-power IoT sensor that communicates over private networks.

Monogoto partnered with SODAQ, an IoT hardware company that specializes in developing IoT solutions and Sequans Communications S.A., a leading provider of cellular IoT chips and modules for massive and broadband IoT – to build CBRSense™.

The integration of a low-power, battery operated IoT sensor to the CBRS network introduces a step-change in the range of devices which were previously unsupported. CBRSense™ opens a world of possibilities to multiple industries that have decided to choose CBRS as a network. Compared to what is currently on the market, the new low-cost sensor can be run from any location and enjoys a long-life cycle of more than a year.

This successful collaboration began when Sequans strategically allowed low-power modems into CBRS networks, enabling SODAQ’s sensors to integrate with private networks.

CBRS (citizens broadband radio service) refers to a spectrum block at 3.5 GHz, allocated by the FCC for public use. This provides enterprises with an efficient way to build their own private LTE networks. For meaningful CBRS growth to occur, network capabilities require further development, which in turn will lead to more use cases.

The future of 5G development depends on different use cases within the same network (network slicing). CBRSense™ demonstrates use cases for the CBRS network that was previously dominated by high-speed CAT 12 CPE’s and UE use cases.

Monogoto CEO, Itamar Kunik states:

‘We are very pleased to be the first network capable of hosting such a wide array of low-power devices. Our partnership with SODAQ and Sequans was a true collaboration in every sense allowing us to drive this innovation into the CBRS ecosystem.’

  • Integrated solution delivers accurate positioning and shorter time-to-fix
  • Alleviates cost and power limitations of traditional hardware GNSS solutions

Sequans Communications S.A., today announced the availability of low-power GNSS positioning capability on its Monarch 2 LTE-M/NB-IoT platform.

The integrated GNSS solution offers Sequans’ IoT customers accurate positioning with lower power consumption, removing the need of an external positioning chipset for an overall higher performing, lower cost tracking solution. The new technology is available on Sequans’ Monarch 2 GM02SP module, a pin-to-pin compatible variant of Sequans’ Monarch 2 GM02S module, with an added GNSS antenna RF input, enabling existing Monarch 2 GM02S customers to take advantage of the added low power GNSS capability easily.

“We are pleased to add this tangible value to our Monarch 2 platform and offer it to our IoT customers,” said Georges Karam, Sequans CEO.

“Having low power GNSS on Monarch 2 widens its capabilities and makes many types of IoT tracker use cases more affordable because there is no need for additional positioning chips or modules.”

“Combined with our already small solution size and ultra-low-power capability, this new GNSS feature makes our Monarch 2 platform an ideal solution for customers launching new tracking products or enhancing existing products with tracking capability.”

The new low power GNSS capability on Monarch 2 leverages Nestwave technology and is ideal for a wide variety of intermittent tracking use cases, including car, bike, scooter, and other personal asset trackers; logistics and fleet trackers; pet, farm animal, and people trackers; emergency assistance beacons; and various types of smart city trackers. Monarch 2 GM02SP module offers multi-functional mode selection with power consumption in the range of a few hundred microwatt-hours per location fix. Power consumption can be adjusted for each fix depending on the use case or for a new triggered event such as emergency asset recovery.

“Sequans Monarch 2 platform is one of the most advanced LTE-M/NB-IoT connectivity solutions in the industry today, and we are pleased that Sequans has adopted our advanced technology to add valuable, low power, accurate positioning capability,” said Ambroise Popper, Nestwave CEO.

Sequans’ GNSS is fully integrated with Monarch 2 and therefore is significantly less expensive than competing chip or module add-ons while delivering a level of accuracy on par with legacy GNSS solutions. The solution supports intermittent or recurrent IoT tracking use cases and allows users to choose from various levels of assistance and performance, depending on use case requirements. Sequans’ GNSS solution can be updated along with Monarch 2 firmware over the air (FOTA) upgrades, giving users instant access to feature upgrades as they become available.

Invoxia, a French company providing leading-edge tracking solutions, is one of Sequans’ first customers to adopt the new GNSS feature of Monarch 2 instead of using an external GNSS chip.

“We are focused on delivering tracker solutions with the highest value possible, and Sequans Monarch with integrated low power GNSS helps us achieve this,” said Amélie Caudron, Invoxia CEO.

“The IoT tracking market is forecasted to reach several hundred million in annual shipments over the next few years, spanning several logistics, agricultural, smart city, and personal tracking applications,” said Andrew Zignani, research director at ABI Research. “However, this market has more stringent power consumption, size, cost, and scalability requirements than traditional GNSS deployments. The arrival of low power GNSS integrated in solutions such as Sequans’ Monarch 2 platform can help keep the bill of materials as low as possible, enable less complex and swifter hardware designs, deliver smaller form factors, and provide greater flexibility, allowing the market to reach its true potential in the years to come.”

The Sequans Monarch 2 GM02SP LTE-M/NB-IoT module with low power GNSS geolocation technology is pin-to-pin compatible with Monarch 2 GM02S module. It features 23 dBm transmit power, a very high level of integration, ultra-low power consumption (1 microamp at rock bottom), a certified EAL5+ secure enclave for integrated SIM (ieUICC), compliant with GSMA standards, an integrated MCU, and Sequans’ Single-SKU™ RF front end, enabling deployment on any LTE band worldwide.

Monarch 2 GM02SP module samples and NEKTAR-B evaluation kits are available now to select customers.

Sequans Communications S.A., leading provider of cellular IoT connectivity solutions, announced that the industry’s first GSMA-compliant integrated SIM (iUICC) is now Common Criteria certified and available on its second generation LTE-M/NB-IoT chip, Monarch 2.

Integrated SIM, whereby the SIM is integrated directly into the chip, is virtually exempt from tampering, providing a powerful security advantage for those IoT applications in utilities, healthcare, banking, or retail, where security is of paramount importance. The availability of Monarch 2 with integrated SIM represents a much anticipated and important capability in IoT, and one that is expected to have a profound impact on enabling IoT on a massive scale. Beyond iUICC, Monarch 2 enables highly secured data ciphering and encryption leveraging the now-certified secure enclave (using the GSMA standard “IoT Safe” or other solutions). Monarch 2 with integrated SIM also enables significant advantages in reduced power consumption, size, and cost.

Sequans collaborated with Tiempo Secure, a leading provider of security IP for semiconductor design companies, and Kigen, a global provider of the SIM operating system with remote SIM provisioning, to bring the full iSIM solution on its chip to market. Sequans collaborated with Tiempo who handled the certification work with CEA-LETI, where Monarch 2’s CC EAL5+ Common Criteria security rating was tested and proven. Sequans and Kigen demonstrated Monarch 2’s iSIM capabilities using Kigen’s advanced SIM OS with key customers and operators. Sequans’ Monarch 2 with integrated SIM is today sampling with select customers on tier 1 operator networks in USA and Europe.
